1. Agreement to Terms

These Terms & Conditions ("Terms") form a legally binding agreement between you ("Customer", "you") and Soter Sight ("Soter Sight", "we", "us", "our"). By accessing this website, creating an account, or purchasing our products, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use this site.

This website sells and ships exclusively to customers located in the United States. You must be at least 18 years old and legally able to enter contracts to place an order.

2. Products

Soter Sight sells performance eyewear and related accessories engineered for sport shooting. Products are described on the site to the best of our ability; color, appearance, and minor specifications may vary due to display settings and manufacturing tolerances. Prescription products are custom-made based on data you provide and cannot be resold.

3. Orders and Acceptance

Placing an order constitutes an offer to purchase. We reserve the right to accept, decline, or limit any order for any lawful reason, including suspected fraud, inventory limits, pricing errors, or shipping restrictions. Your order is accepted when we send an order confirmation.

4. Pricing and Payment

• All prices are in U.S. Dollars (USD) unless stated otherwise.
• Prices exclude applicable state and local sales taxes, which will be added at checkout where required.
• Payment is due at the time of order via accepted payment methods.
• In the event of an obvious pricing error, we may cancel the order and refund any amounts charged.

5. Shipping

We ship to addresses within the 50 U.S. states. Estimated production and delivery times are shown at checkout. Custom prescription orders may require additional production time. Title and risk of loss pass to you upon delivery to the carrier.

6. Returns & Refunds

• You may request a return within 30 days of delivery.
• Products must be unused, in original condition, and in original packaging.
• Custom prescription lenses are non-returnable except in cases of manufacturing defect or verified error in the prescription we produced.
• Refunds are issued to the original payment method within 10 business days after we receive and inspect the returned item.
• Return shipping is the customer's responsibility unless the return is due to our error or a defect.

7. Warranty

Products are covered by a limited manufacturer's warranty against defects in materials and workmanship as specified on the product page. This warranty does not cover damage caused by misuse, accidents, unauthorized modification, or normal wear. TO THE FULLEST EXTENT PERMITTED BY LAW, ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED.

8. Assumption of Risk — Sport Shooting

Sport shooting involves inherent risks. Our eyewear is designed to enhance visual performance and provide impact-rated eye protection where indicated, but no eyewear can prevent every injury. You are responsible for following applicable laws, range rules, safe firearm handling, and manufacturer instructions. Use of our products does not substitute for training, certified safety equipment, or professional supervision.

9. Intellectual Property

All content on this website — including text, graphics, logos, product designs, photographs, and videos — is owned by or licensed to Soter Sight and protected by U.S. and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

10. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access. We may suspend or terminate accounts that violate these Terms.

11. Prohibited Uses

You agree not to:

• Use the site for any unlawful purpose or in violation of any regulation.
• Attempt to gain unauthorized access to our systems.
• Scrape, mirror, or otherwise reproduce site content without authorization.
• Introduce malware or interfere with site operation.

12. Disclaimer

THE WEBSITE AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOTER SIGHT, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the greatest extent permitted by law.

14. Indemnification

You agree to indemnify and hold harmless Soter Sight and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or misuse of our products or website.

15. Dispute Resolution — Informal Resolution & Binding Arbitration

Please read carefully — this affects your legal rights.

Informal resolution first. Before starting arbitration, you agree to send a written Notice of Dispute to legal@sotersight.com describing the claim and the relief sought, and to attempt to resolve it in good faith for at least 60 days.

Binding individual arbitration. If not resolved informally, any dispute arising out of or relating to these Terms or your purchase shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will take place in the United States, in the county of your residence or another mutually agreed location, and may be conducted remotely. The arbitrator's decision is final and enforceable in any court of competent jurisdiction.

Small-claims carve-out. Either party may bring an individual action in a small-claims court of competent jurisdiction instead of arbitration, provided the action remains in that court and on an individual (non-class) basis.

Class action & jury trial waiver. You and Soter Sight agree that disputes will be resolved only on an individual basis and not as a class, collective, consolidated, or representative action. TO THE EXTENT PERMITTED BY LAW, YOU AND SOTER SIGHT WAIVE ANY RIGHT TO A JURY TRIAL.

30-day opt-out. You may opt out of this arbitration agreement by emailing legal@sotersight.com with your name, order number, and a clear statement that you decline arbitration, within 30 days of first accepting these Terms.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, and by applicable U.S. federal law (including the Federal Arbitration Act). Where mandatory consumer protection laws of the state where you reside grant you stronger rights, those rights are preserved.

17. Changes to These Terms

We may modify these Terms at any time. Updated Terms will be posted with a new "Last updated" date. Changes apply prospectively; your continued use of the site after posting constitutes acceptance.

18. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government actions, epidemics, pandemics, utility or carrier failures, or supply-chain disruptions.

19. Electronic Communications & Consent

By using this site or placing an order, you consent to receive communications from us electronically (email, on-site notices). You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that they be in writing.

20. Severability & Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Soter Sight regarding the site and products.
